Disclosures
Effective Date: August 3, 2026
1. Company Structure
Finch MSO is a trade name (dba) of Krieg Holdings I, LLC, a Delaware limited liability company. Finch operates as a management services organization ("MSO") providing non-legal operational, administrative, and business support services to independently owned and operated law firms. Finch is not a law firm and does not provide legal services.
2. Professional Independence
All law firms affiliated with or receiving services from Finch maintain full professional independence in the practice of law. Finch does not exercise control over, nor does it interfere with, the professional judgment, client relationships, case strategy, or ethical obligations of any affiliated attorney or law firm. Each affiliated firm remains solely responsible for compliance with all applicable rules of professional conduct and legal ethics in their respective jurisdictions.
3. No Legal Advice
Nothing on this website, and no communication with Finch or its representatives, constitutes legal advice or creates an attorney-client relationship. If you require legal counsel, please consult a licensed attorney in your jurisdiction.
4. Forward-Looking Statements
This website may contain forward-looking statements regarding Finch's business model, growth plans, anticipated benefits, and future performance. These statements are based on current expectations and assumptions and are subject to risks, uncertainties, and other factors that could cause actual results to differ materially from those expressed or implied. Finch undertakes no obligation to update any forward-looking statements. Such statements should not be relied upon as predictions of future events or guarantees of future performance.
5. Illustrative Information
Any financial figures, percentages, multiples, cost savings estimates, timelines, or other numerical data presented on this website are illustrative and provided for general informational purposes only. Actual terms, structures, economics, and outcomes of any Finch partnership are determined solely by the definitive agreements executed between the parties and may differ materially from anything described here. Past performance or results achieved by any affiliated firm are not indicative of future results.
6. Statements Regarding Partnership Terms
The questions and answers, descriptions of process, and statements of practice appearing on this website — including those addressing the Practice Affiliation Fee, attorney compensation, partner participation, transition sequencing, and expected timelines — describe how Finch partnerships are generally structured and how Finch generally intends to conduct itself. They are general descriptions, not commitments, and they are not offers, terms, or guarantees.
Every engagement is negotiated individually. Terms vary based on firm size, practice mix, financial profile, ownership structure, jurisdiction, and the outcome of diligence. Any timeline referenced is an estimate and depends on factors outside Finch's control, including the responsiveness of third parties and the pace at which a firm's decision-makers reach agreement. No statement on this website should be understood to bind Finch or any prospective firm in the absence of a signed definitive agreement.
7. Tax Matters
Finch is not a tax advisor, and nothing on this website constitutes tax advice. Any description of the anticipated tax treatment of a transaction, including any reference to capital gains treatment, reflects how such transactions are generally structured and is subject to the specific facts of each engagement, the entity type and ownership structure of the firm, the jurisdictions involved, and applicable federal, state, and local law in effect at the time.
Tax law is subject to change, including retroactively, and the characterization of any particular transaction may be challenged by a taxing authority. Finch does not guarantee any tax outcome. Every firm and every individual partner should obtain independent tax advice from a qualified professional regarding their own circumstances before entering into any transaction, and should not rely on this website in evaluating tax consequences.
8. Not an Offer of Securities
Nothing on this website constitutes an offer to sell, or a solicitation of an offer to buy, any security, investment product, or financial instrument. Finch does not offer securities to the public. Any investment-related activities of Finch's parent or affiliated entities are conducted in compliance with applicable securities laws and regulations and are separate from the services described on this website.
9. Regulatory and Ethical Compliance
Finch's MSO model is designed to operate consistently with applicable state laws and rules of professional conduct governing the delivery of legal services, including rules addressing fee-sharing with non-lawyers, non-lawyer ownership of law firms, the unauthorized practice of law, and interference with professional judgment. These rules differ meaningfully among jurisdictions and continue to evolve.
The availability and structure of Finch's services vary accordingly, and Finch does not operate in any jurisdiction where doing so would be contrary to applicable law or professional conduct rules. Each firm is responsible for its own compliance with the rules governing its attorneys, and every firm considering a partnership with Finch is encouraged to obtain independent ethics counsel to evaluate the arrangement under the rules of its own jurisdiction.
10. Client Confidentiality
Client files, client confidences, and privileged information remain the property and responsibility of the law firm and its attorneys. Finch's services are structured so that any incidental access by Finch personnel or systems to client information is governed by confidentiality obligations and access controls designed to support — not to circumvent — each firm's professional and ethical duties.
11. Third-Party Relationships
This website may reference or display the names, logos, or trademarks of third-party companies, including investors, service partners, vendors, and affiliated entities. Such references are for informational purposes only and do not imply endorsement, sponsorship, or affiliation beyond the specific relationship described. Each third-party entity is independent and solely responsible for its own products, services, and representations.
12. Conflicts of Interest
Finch and its affiliates may have financial or business relationships with service providers, vendors, or entities referenced on this website or recommended to affiliated law firms, and may receive economic benefit from those relationships. Finch endeavors to disclose material conflicts of interest to its affiliated firms and to act in accordance with the terms of its agreements with those firms.
13. Limitation on Representations
No representative of Finch is authorized to make any representation, warranty, or guarantee not expressly set forth in a written agreement signed by an authorized officer of Finch. Any statements made by Finch representatives — whether on this website, in marketing materials, during conversations, or otherwise — that are not reflected in a signed definitive agreement are non-binding and should not be relied upon.
14. Jurisdiction-Specific Notices
The services described on this website may not be available in all jurisdictions. Nothing on this website is intended to solicit business in any jurisdiction where Finch is not authorized to operate or where such solicitation would be contrary to local laws or regulations. Visitors are responsible for determining whether the information on this website applies to their circumstances and jurisdiction.
